Should you accept, negotiate or decline an investor offer?
A simple checklist for judging an offer on facts rather than excitement.
Check the implied valuation
Convert the offer into pre- and post-money figures. Compare against recent, dated, same-stage deals in your market — not headline rounds from other continents.
Check what the money buys
Does the amount reach your next milestone with buffer? An offer that is too small forces another raise soon at a weak position.
Check who gets diluted
See the ownership of every holder after the round. Primary shares dilute everyone; a secondary sale moves shares from specific holders. Make sure the split matches what founders agreed.
Check the terms beyond price
Liquidation preferences, board seats, vetoes and pro-rata rights can matter more than valuation. Have a qualified lawyer review the term sheet before signing.
